Terms and Conditions

These Terms of Service ("Terms") govern your access to and use of nwPal (the "Service"), provided by NW MOON Education LLC ("NW MOON," "nwmoon," "we," "us").

By creating an account or using nwPal, you agree to these Terms.

1) Eligibility

nwPal is intended for users 13 years of age or older. If you are under the age at which you can provide valid consent in your country (which may be 13–16 in parts of Europe), a parent/guardian must authorize any features that rely on consent (for example, optional training/improvement use of chats).

2) Accounts

You must create an account to use nwPal. You are responsible for all activity under your account.

You agree to provide accurate information and keep it updated.

Do not share or resell access unless we explicitly allow it in writing.

3) The Service and AI Disclaimer

nwPal is an AI-powered English-learning chatbot and learning service. AI outputs may be incorrect, incomplete, or inappropriate. nwPal is for educational use and does not provide professional advice. We do not guarantee outcomes (including exam scores or IELTS results).

We may update, change, or discontinue features at any time.

4) Acceptable Use

You agree not to:

• Use nwPal for illegal activities or to violate laws or regulations.
• Harass, threaten, exploit, or harm others.
• Submit content that is unlawful, abusive, hateful, or sexually exploitative.
• Attempt to reverse engineer, scrape, disrupt, overload, probe, or bypass security.
• Use bots/automation to access the Service without permission.
• Circumvent usage limits, paywalls, or access paid features without authorization.

We may remove content, restrict features, or take enforcement actions as described below.

5) User Content, Moderation, and Permissions

"User Content" includes what you submit to nwPal (including chats).

5.1 Ownership

You retain ownership of your User Content.

5.2 License to operate the Service

You grant NW MOON a limited, worldwide, non-exclusive license to host, store, reproduce, and process User Content only as needed to:

• provide and operate nwPal,
• maintain quality and safety (including moderation),
• comply with legal obligations, and
• enforce these Terms.

5.3 Moderation and review

You acknowledge that NW MOON may review User Content for safety and quality, including:

• review of flagged content, and
• limited sampling for quality improvement.

6) Optional Training/Improvement Use (Opt-in Only)

We will use User Content for "training/improvement" purposes only if you explicitly opt in. If you opt in, we may use your chats to improve nwPal (e.g., improving prompts, safety filters, and internal systems/models).

If you opt in, we may also enable data-sharing mechanisms that allow AI providers (e.g., OpenAI) to use shared data to improve their models only where such opt-in mechanisms exist.

Opt-out: You can withdraw this consent at any time in the app. Withdrawal applies going forward.

No penalty: Opting out does not affect access to nwPal's core or paid features.

7) Plans, Usage Limits, and Billing

nwPal offers the following plans (as described in-app and/or at checkout):

7.1 Free plan (limited usage)

We may offer a Free plan that provides access to nwPal features with usage limits (for example, limits on how much you can use the Service within a period). Usage limits and what is included are described in the app. We may change Free plan limits over time to maintain service quality, prevent abuse, and manage capacity.

7.2 Paid subscriptions

We may offer paid subscriptions including:

• Monthly subscription
• Yearly subscription

Plan details, pricing, taxes (if any), what's included, and any renewal terms will be shown at checkout.

8) Payments and Purchase Methods

Current payment method (web): At this time, paid access may be purchased through our website (nwmoon.com) using the payment methods available at checkout.

Future payment methods: In the future, we may also offer additional payment methods (including platform billing or other processors), where permitted by platform rules and applicable law. Payment processing may be handled by our payment processor(s) (and, if later added, platform providers such as Apple/Google), depending on the method used.

9) Renewal, Cancellation, and Access

9.1 Auto-renewal

Some subscriptions renew automatically unless you cancel renewal before the renewal date.

9.2 Canceling renewal (future periods)

If you purchased via web/direct (current method), you cancel through your nwPal account settings or as instructed at checkout. If platform billing is offered in the future, cancellation/renewal may be managed through the relevant platform account settings (as shown at purchase time).

9.3 Access after cancellation

If you cancel renewal, you keep access until the end of the current paid billing period. After that, access to paid features ends unless you renew.

10) Refunds, Withdrawal Rights, and "No Refund for the Current Period"

10.1 General rule (web/direct purchases)

For web/direct purchases, we generally do not provide refunds for the current billing period once access has been provided, except where required by applicable law.

10.2 EEA/UK consumer withdrawal rights (web/direct purchases)

If you are a consumer in the EEA/UK and you purchase directly from NW MOON (outside app stores), you may have a legal right to withdraw within a statutory period (commonly 14 days), unless an exception applies.

Where allowed by law for digital content/services, we may ask you at checkout to: request that access/performance begins immediately, and acknowledge that you may lose the right of withdrawal once performance begins. If you do not provide any required consent/acknowledgement, we will handle withdrawal/refund requests as required by applicable law.

11) Suspension and Termination

We may suspend or terminate your access if:

• you violate these Terms,
• we reasonably believe it is necessary to protect users or the Service,
• we detect fraud/abuse, or
• we are required to do so by law.

Notice: We may act without notice where we reasonably believe immediate action is required for safety, security, fraud prevention, or legal compliance. Where practical, we may provide notice.

12) Disclaimers

To the maximum extent permitted by law, nwPal is provided "as is" and "as available," without warranties of any kind (including implied warranties of merchantability, fitness for a particular purpose, and non-infringement).

13) Limitation of Liability

To the maximum extent permitted by law, NW MOON will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising from or related to your use of nwPal. Where liability cannot be excluded, it is limited to the minimum extent permitted by law.

14) Changes to the Service or Terms

We may update these Terms. If changes are material, we will provide notice by updating the "Last updated" date and, where appropriate, providing in-app notice.

15) Governing Law and Venue

These Terms are governed by the laws of Armenia. Courts located in Yerevan, Armenia will have jurisdiction, except where mandatory consumer protection laws require otherwise.
